Problems with Secured Transactions

The purpose of this course was to examine the key problems which arise in practice in relation to secured transactions and to discuss how best to deal them. The law of security is part of the law of property: it is concerned with the creation of proprietary interests in assets. But it cannot be understood without an understanding of insolvency law: we take security because of the risk of insolvency. The conceptual background to the course is therefore property law and insolvency law, but they need to be understood in the light of the way in which security is taken in practice. Drafting and Negotiating Clinical Trial Agreements

About this course This practical, one-day course provided a detailed discussion of the legal, regulatory, drafting and practice issues that arise when drafting and negotiating clinical trial agreements (CTAs) and other contractual documents that are encountered when clinical trials are run, e.g. agreements between a sponsor and a clinical research organisation (CRO). The main focus of this course was on helping the drafter and negotiator to navigate the contractual issues. CTAs raise many issues; within the time available (6 hours teaching) we looked at the main issues that, in our experience, tend to arise. We explored UK and EU regulatory issues, as they are important when drafting CTAs, and discussed how and why these affect the terms; but this course was not intended to teach the complex legal framework for the various types of regulated study. Our experience is that clients employ or consult with a regulatory expert when setting up clinical trials, and we work with them to ensure that the appropriate regulatory terms for the individual trial are reflected in the terms of the agreement. You gained the following understanding by attending this course: • What makes CTAs different from other professional services agreements. • The European regulatory framework for trials and how this affects the terms of agreements. • Other laws and regulations affecting CTAs, including data protection, freedom of information, “sunshine” laws, and many other topics. • Standard agreements – governmental, company, etc: when are they used, when are they not; and how are they revised. • Drafting and negotiation issues. • Practical aspects of working with colleagues to get the agreement right. • Other agreements and documents used in clinical trials.

Contract Drafting Skills workshop

"About this course This practical one-day course was designed to help you improve your contract drafting skills. It combined teaching on modern drafting techniques with multiple, practical exercises to help you apply that teaching and improve your drafting. If you are good at general business or legal writing, your skills will get you some of the way to drafting contracts well. But the mix of techniques used in good contract drafting is unique. We discussed when to use and when to reject general writing techniques for contract drafting. By looking at examples of good and bad contract wording, we explored what works and what doesn’t, and how apparently satisfactory wording can be tweaked to remove ambiguities and uncertainties. In doing so, we kept in mind the four Cs - four objectives that are sometimes underrated or overlooked: clarity, correctness (accuracy), conciseness and consistency. We also considered how the courts interpret contracts. It is often better to draft clearly and in a way that avoids litigation, than to focus solely on how to “win” in court. Summer English Course for International University Students

This 3-week course with an average of 15 study hours per week is taught on UCL's central London campus and aims to improve English language skills in the key areas of speaking, listening, reading and writing, through task-based activities, with an emphasis on improving communicative ability. This course is not suitable for beginners or elementary students and those attending will probably have studied English for several years at school, and may be studying English as part of their university degree. Classes are taught in small groups with an average of 14 students per class and cover English language, presentation skills and report writing. An academic research project conducted both in class and outside the university leads to a final presentation and report. Afternoon visits to places of significant cultural importance around London take place two to three afternoons a week and these are supported with preparation classes. Students will also have the opportunity to attend academic lectures, which will be followed by class discussions.
